Terms of Service

1. The Parties

Rezlance is a SaaS practice management platform operated by Bloghunch Software Pvt Ltd ("Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 and registered in India.

"User", "you", or "your" refers to any individual or entity that registers for, accesses, or uses the Rezlance platform in any manner. If you are accepting these Terms on behalf of a firm or organisation, you represent that you have authority to bind that entity.

2. Description of Service

Rezlance is a cloud-based practice management platform designed for Chartered Accountant firms and accounting professionals. The Service includes tools for:

• Client and engagement management
• Statutory compliance deadline tracking (GST, Income Tax, TDS, ROC/MCA, etc.)
• Document request, collection, and storage
• Proposals, time tracking, and invoicing
• Secure client portal for collaboration
• Team task assignment and monitoring

3. Eligibility and Account Registration

To use Rezlance, you must:

• Be at least 18 years of age and legally competent to enter into contracts under the Indian Contract Act, 1872
• Provide accurate, complete, and current registration information
• Maintain the confidentiality and security of your login credentials
• Accept full responsibility for all activities conducted under your account
• Notify us immediately at support@rezlance.com of any unauthorised use of your account

We reserve the right to refuse registration or cancel accounts at our sole discretion.

4. Subscription and Payment

Rezlance operates on a paid subscription model. By subscribing, you agree that:

• Subscriptions are billed in Indian Rupees (INR) on a monthly or annual basis as selected
• Payments are processed through Razorpay or other authorised payment gateways
• All fees are exclusive of applicable Goods & Services Tax (GST), which will be charged as per prevailing rates
• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date
• Prices may be revised with 30 days' prior written notice via email
• GST invoices will be issued for all payments as required under GST laws

Non-payment may result in suspension of your account. We are not liable for any loss arising from suspension due to non-payment.

5. Acceptable Use

You agree not to use the Service to:

• Engage in any activity that violates any law or regulation applicable in India
• Upload, store, or transmit any malicious software, viruses, or harmful code
• Attempt to gain unauthorised access to our systems or any third-party systems
• Impersonate any person or entity or misrepresent your affiliation
• Reverse engineer, decompile, or disassemble the Service
• Resell, sublicense, or redistribute the Service without written permission
• Infringe upon any intellectual property rights of Bloghunch Software Pvt Ltd or any third party
• Store or process data in violation of professional secrecy obligations under the Chartered Accountants Act, 1949

6. Data Ownership and Privacy

You own your data. All client data, documents, and information you upload to Rezlance remain your property. We do not claim ownership over your data.

By using the Service, you grant Bloghunch Software Pvt Ltd a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in compliance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023.

7. Intellectual Property

The Rezlance platform, including its software, design, content, features, logos, and trademarks, is the exclusive property of Bloghunch Software Pvt Ltd and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

8. Service Availability and Uptime

We aim to provide a highly available service, but we do not guarantee uninterrupted or error-free access. We reserve the right to perform scheduled maintenance or make changes to the Service with reasonable notice.

In the event of an unplanned outage exceeding 48 consecutive hours, we will extend your subscription by the equivalent duration or provide a pro-rata credit at our discretion.

9. Termination

Either party may terminate this agreement. You may cancel your subscription at any time through your account settings. We may suspend or terminate your access immediately and without prior notice if:

• You breach any provision of these Terms
• You fail to pay subscription fees when due
• We are required to do so by applicable law or court order

10. Limitation of Liability

To the fullest extent permitted under applicable Indian law, Bloghunch Software Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, data, or goodwill, arising from your use of or inability to use the Service.

Our total cumulative liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be free from errors, vulnerabilities, or interruptions. Rezlance is a practice management tool and does not constitute professional advice - compliance obligations remain the responsibility of the subscriber.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bloghunch Software Pvt Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of India. We encourage resolution through amicable discussion before pursuing legal remedies.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through an in-app notice at least 15 days before they take effect. Continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms.
